1. Introduction
This Terms of Use Agreement ("Agreement") governs the use of the services ("Services") provided by CHURCH LAUNCH LLC d/b/a Church Launch University ("Church Launch University," "us," "we," or "our" and "Licensor"). By accessing and using our Services, you ("you" or the "Licensee") agree to be bound by this Agreement. Licensor reserves the right, in its sole discretion, to determine the types of licenses that it makes available to end users.
2. Services
Licensor offers a subscription service that provides churches, ministries, and individuals with a license to access media training courses, masterclasses, digital templates (such as Canva and Photoshop files), and private community platforms (collectively, the "Licensed Materials") for use in their church services, online streams, social media, and related ministry content.
3. Subscription and Payments
Subscriptions to our Services are available on a monthly or yearly basis, divided into specific tiers (e.g., Starter and Pro). The Licensee is responsible for all charges associated with their subscription and must cancel their subscription before renewal to prevent further charges. Due to the nature of digital access and downloadable templates, no refunds will be given under any circumstances. Licensor retains sole discretion to set the parameters of each Subscription Package, including, without limitation, which products or training modules to include, and whether to add or remove a given product (which can happen at any time, before, during, or after the period during which the subscription is in effect). Licensor may suspend access to Licensed Materials if Licensor reasonably believes that Licensee's use of any or all of the Licensed Materials is unauthorized until such time as Licensor verifies Licensee's rights to use the Licensed Materials.
4. Intellectual Property
All video courses, templates, digital assets, and content on our website, with the exception of certain Licensee-submitted images (such as Licensee reviews or photos from events where an end-Licensee has used the files), are the property of Church Launch University and are protected by copyright law. You may not copy, distribute, or reproduce any content from our website without our express written consent. For the avoidance of doubt, no ownership in any property, content, or file is granted to the Licensee.
5. License Grant
Upon subscribing to our Services, Church Launch University grants the Licensee a non-exclusive, non-transferable, revocable license to use our training materials and digital assets for their church services, online streams, and other related ministry uses. The Licensee may not resell, gift, or package the digital assets, templates, or any part of them (including still images derived from the files), as stock assets or standalone templates in any format. The ownership of all video training, courses, and digital assets will remain with CHURCH LAUNCH LLC in perpetuity.
6. Licensee Restrictions
Licenses are granted for use by a single church organization or ministry. The granted license is conditioned on Licensee's compliance with all of its obligations under this Agreement, including, without limitation: (i) Licensee’s having acquired access directly from Licensor, and (ii) Licensee’s compliance with obligations imposed by Licensor.
As between Licensor and Licensee, Licensor retains all right, title, and interest in: (i) the Licensed Product(s) (regardless of the type of license Licensee has acquired), the Updates related thereto, the Documentation related thereto, and all feedback relating to the Licensed Product(s) that concerns the features or functionality of the Licensed Product that the Licensee provides Licensor, indirectly or directly, through any mode of communication; (ii) all Derivative Works of the Licensed Materials; and (iii) all Intellectual Property Rights in the items listed in (i) and (ii), subject only to the limited licenses expressly set forth in this Agreement.
For purposes of this Agreement, "Derivative Work" means any revisions, modifications, translations, abridgment, or compilation. "Intellectual Property Rights" means United States and foreign patents, utility models, trademarks, sound marks, copyrights, copyright registrations, trade secrets, moral rights, trade dress, know-how, algorithms, and other intellectual property rights, whether currently existing or prospective, and including all applications therefor and re-issuances, divisions, re-examinations, renewals, extensions, provisionals, continuations, and continuations-in-part thereof, and any similar, corresponding, or equivalent rights to any of the foregoing anywhere in the world.
Licensee shall not: (i) Translate, adapt, reverse engineer, decompile (except as expressly permitted under applicable law), disassemble, create derivative works of, or modify the Licensed Materials or any portion thereof; (ii) Attempt to circumvent technical measures in the Licensed Materials; (iii) Copy, rent, sell, sublicense, or grant access to the Licensed Materials (including sharing login credentials outside of your immediate church staff/volunteer team), except as (A) expressly set forth in this Agreement or (B) expressly authorized by Licensor, in writing; (iv) Transfer any portion of the Licensed Materials to any third party unless: (A) either: (1) the applicable license is expressly described as “transferable” under the applicable grant set forth in a separate agreement, or (2) applicable law requires that the license be transferable.
7. Limitation of Liability
We make no representations or warranties of any kind, express or implied, as to the operation of our website or the information, content, materials, or products included on our website. To the full extent permissible by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. We will not be liable for any damages of any kind arising from the use of our website or our subscription service, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
8. Termination
If the Licensee cancels their subscription, the license for any digital templates or video assets previously downloaded will remain active for projects that were released prior to the cancellation. However, the Licensee is prohibited from using these digital assets (including Canva and Photoshop templates) to create new graphics, presentations, or projects after the cancellation. Upon cancellation, the Licensee is expected to delete all downloaded source files and templates from their media servers and cease all new use.
9. Sharing and Misuse
The Licensee may not share login credentials, video courses, or digital assets outside of their subscribing organization. If Church Launch University finds that the Licensee has violated this term by distributing our proprietary materials to unaffiliated churches or individuals, we reserve the right to cancel the Licensee's subscription immediately without refund and prohibit future use of our Services.
10. Changes to this Agreement
We reserve the right to modify this Agreement at any time. Any changes will be posted on our website. Licensee's ongoing use of Church Launch University and its associated platforms constitutes agreement with the current terms of service.
